Corporate Paralegal
itle: Corporate Paralegal Department: Corporate & Capital Markets Office: Boston, New York, Washington, DC or Orange County Status: Non-exempt _____________________________________________________________________________________ Position overview: As a member of the Corporate & Capital Markets Department, the Corporate Paralegal will assist attorneys in all stages of corporate and finance transactions, and with the preparation of documents necessary to comply with federal, state and local regulations in the conduct of business activities. Critical Success Factors: •Ability to interact with all levels of legal staff and personnel, including management and support staff. •Team-oriented and able to work in a multi-office environment. •High attention to detail and able to follow up and follow through. •Strong organizational, writing and communications skills. •Self-starter, collaborative “get the job done" attitude. Responsibilities: •Assist in the preparation and filing of UCC financing statements. •Conduct, review and summarize UCC searches. •Manage and assist with closing of transactions, including preparation, coordination and organization of closing binders. •Prepare all documents required to form corporations, partnerships and limited liability companies in any state. •Prepare and file annual reports in states where corporations are incorporated and/or qualified to do business. •Blue Sky research. •Perform basic contract and agreement review. •Establish relationships and effectively liaise with clients and vendors on a regular basis. Qualifications: •Candidate must possess a deep understanding and knowledge of creating, amending and/or the continuation of UCC financing statement filings, as well as possess a complete understanding and knowledge of the rules with respect to same. •Knowledge of general recording/filing and/or electronic filing with county, state and federal jurisdictional agencies. •Highly proficient computer skills. •Ability to multi-task. •3- 5 years of experience, preferably in a mid to large size law firm. •Bachelor's degree required. $75K-plus paid OT
